END USER LICENSE AGREEMENT (EULA)

IMPORTANT — READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single legal entity, referred to as "Licensee" or "You") and ArcVault (arcvault.ir) ("Company", "We", or "Us") for the use of ArcVault software, including all associated components, media, documentation, and online or electronic materials ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. Grant of License

Subject to the terms and conditions of this Agreement and upon payment of the applicable license fees, the Company grants You a non-exclusive, non-transferable, limited license to install and use the Software on the number of devices specified in your purchased license plan ("Licensed Devices").

2. License Restrictions

You may not:

a)Copy, modify, or distribute the Software without prior written consent from the Company;

b)Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;

c)Rent, lease, lend, sell, sublicense, or transfer the Software or any rights therein to any third party;

d)Remove or alter any proprietary notices, labels, or marks on the Software;

e)Use the Software on more devices than the number specified in your license;

f)Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.

3. License Activation and Hardware Binding

The Software uses a hardware-based license activation system. Upon activation, your license key will be bound to the specific hardware identifier of the device. Each activated device counts toward your licensed device limit. You may deactivate a device through the admin panel to transfer the license to another device, subject to the terms of your license plan.

4. Intellectual Property

The Software, including all copies, modifications, and derivative works, is and remains the exclusive property of the Company and its licensors. This Agreement does not grant You any rights to patents, copyrights, trade secrets, trade names, trademarks, or any other intellectual property rights of the Company.

5. Data and Files — Disclaimer of Liability

THE COMPANY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSS, CORRUPTION, INACCESSIBILITY, OR DAMAGE TO YOUR DATA, FILES, OR PROJECTS, INCLUDING BUT NOT LIMITED TO ARCHITECTURAL DRAWINGS, DESIGN FILES, DOCUMENTS, AND ANY OTHER CONTENT STORED, MANAGED, OR PROCESSED BY THE SOFTWARE.

YOU ACKNOWLEDGE AND AGREE THAT:

a)THE RESPONSIBILITY FOR MAINTAINING ADEQUATE BACKUPS OF ALL DATA AND FILES RESTS SOLELY WITH YOU, THE LICENSEE.

b)THE COMPANY IS NOT RESPONSIBLE FOR ANY DATA LOSS RESULTING FROM, BUT NOT LIMITED TO: HARDWARE FAILURE, SOFTWARE ERRORS OR BUGS, ACCIDENTAL DELETION, UNAUTHORIZED ACCESS, RANSOMWARE OR MALICIOUS SOFTWARE ATTACKS, OPERATING SYSTEM FAILURES, POWER OUTAGES, NETWORK ISSUES, OR ANY OTHER CAUSE.

c)THE SOFTWARE IS PROVIDED AS A FILE MANAGEMENT TOOL ONLY. THE COMPANY DOES NOT GUARANTEE THE INTEGRITY, AVAILABILITY, OR RECOVERABILITY OF ANY DATA STORED USING THE SOFTWARE.

d)IT IS YOUR SOLE RESPONSIBILITY TO REGULARLY USE THE BACKUP FEATURE PROVIDED WITHIN THE SOFTWARE AND TO STORE BACKUP FILES IN A SECURE, SEPARATE LOCATION.

e)IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF DATA LOSS OR CORRUPTION, REGARDLESS OF WHETHER THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

WE STRONGLY RECOMMEND THAT YOU MAINTAIN REGULAR BACKUPS OF ALL IMPORTANT DATA USING MULTIPLE STORAGE METHODS, INCLUDING BUT NOT LIMITED TO EXTERNAL DRIVES, CLOUD STORAGE SERVICES, AND THE BUILT-IN BACKUP FEATURE OF THE SOFTWARE.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Updates and Support

The Company may, at its discretion, provide updates, patches, or new versions of the Software. Such updates may be subject to additional terms. The Company is not obligated to provide any support, maintenance, or updates unless explicitly agreed upon in a separate written agreement.

9. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically and without notice if You fail to comply with any term of this Agreement. Upon termination, You must cease all use of the Software and destroy all copies in your possession. Sections 4, 5, 6, 7, and 10 shall survive any termination of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Iran. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Iran.

11. Entire Agreement

This Agreement constitutes the entire agreement between You and the Company concerning the Software and supersedes all prior or contemporaneous understandings, representations, or agreements regarding the subject matter herein.
